摩根士丹利是一家成立于美国纽约的国际金融服务公司，提供包括证券、资产管理、企业合并重组和信用卡等多种金融服务，目前在全球27个国家的600多个城市设有代表处，雇员总数达5万多人。摩根士丹利原是JP摩根中的投资部门，1933年美国经历了大萧条，国会通过《格拉斯—斯蒂格尔法》(Glass-Steagall Act) ，禁止公司同时提供商业银行与投资银行服务，摩根士丹利于是作为一家投资银行于1935年9月5日在纽约成立，而JP摩根则转为一家纯商业银行。摩根士丹利于1994年2月在上海设立首家代表处 , 后于同年8月在北京设立第二家代表处。主要从事投资银行业务,包括企业融资和协助客户通过发行股票及债券筹集资金、并购咨询及房地产投资服务；股票研究及私募股本投资。1995年8月，摩根士丹利成为首家入股中国国内合资投资银行的跨国银行。中国国际金融有限公司（(简称中金公司)为摩根士丹利与中国建设银行和其他几家国内外实体联合组成的合资公司，摩根士丹利持有34.3%的权益。
